Terms of Service

Welcome to memu! These Terms of Service ("Terms") govern your use of the memu mobile application and related services (collectively, the "Service"), operated by studio179 d.o.o. ("we", "our", or "us"). By using memu, you agree to these Terms.

Please read these Terms carefully. If you don't agree with them, please don't use memu.

1. Acceptance of Terms

By creating an account or using memu, you agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legal agreement between you and memu.

We may update these Terms from time to time. If we make significant changes, we'll notify you through the app or by email. Your continued use of memu after changes take effect constitutes acceptance of the new Terms.

2. Eligibility

To use memu, you must:

• Be at least 13 years old (or the minimum age in your jurisdiction)
• Have the legal capacity to enter into these Terms
• Not be prohibited from using the Service under applicable laws

If you're using memu on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To use memu, you need to create an account using a valid email address. You are responsible for:

• Providing accurate and complete information
• Maintaining the security of your account
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

You may not create multiple accounts for abusive purposes, impersonate others, or use someone else's account without permission.

4. Couple Pairing

memu is designed for couples. When you pair with another user:

• You both consent to share photos and gameplay data with each other
• Either partner can unpair at any time through app settings
• Unpairing will end your shared streak and gameplay history
• You may only be paired with one partner at a time

You are responsible for pairing only with someone who has consented to connect with you. Do not use memu to harass, stalk, or contact someone who doesn't want to hear from you.

5. Photo Challenges & Content

memu lets you share photos with your partner as challenges. When you share content:

Your Rights

You retain full ownership of the photos and content you share. By using memu, you grant us a limited, non-exclusive license to store, process, and transmit your content solely to provide the Service (i.e., to show your photos to your partner).

Content Guidelines

You agree not to share content that:

• Is illegal, harmful, threatening, abusive, or harassing
• Contains nudity or sexually explicit material involving minors
• Infringes on others' intellectual property rights
• Contains viruses or malicious code
• Violates any person's privacy without their consent
• Is fraudulent, deceptive, or misleading

While memu is a private experience between partners, we reserve the right to remove content that violates these guidelines if brought to our attention.

6. Acceptable Use

You agree to use memu responsibly. You may not:

• Use the Service for any illegal purpose
• Harass, abuse, or harm another person
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service
• Reverse engineer, decompile, or attempt to extract the source code
• Use automated systems (bots, scrapers) to access the Service
• Circumvent any security measures or access restrictions
• Create accounts in bulk or for spam purposes

7. Subscriptions & Payments (memu+)

memu offers an optional premium subscription called "memu+" with additional features.

Billing

• All purchases are processed through the Apple App Store
• Prices are displayed in your local currency and may vary by region
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• You can manage or cancel your subscription in your Apple ID account settings

Price Changes

We may change subscription prices from time to time. Price changes will take effect at the start of the next billing period after notice is provided. If you don't agree to a price change, you can cancel before it takes effect.

Refunds

Refunds are handled according to Apple's App Store refund policies. We cannot issue refunds directly - you must contact Apple for refund requests.

Free Trials

If we offer free trials, you won't be charged until the trial ends. If you don't cancel before the trial expires, your subscription will automatically start and you'll be charged.

8. Virtual Currency (Gems)

memu uses a virtual currency called "Gems" for in-app features like Streak Saves and extra photos.

• Gems can be earned through gameplay or purchased via in-app purchase
• Purchased gems are non-refundable except as required by law
• Gems are shared between you and your partner as a couple
• If you unpair or delete your account, your gem balance may be lost
• We reserve the right to modify gem pricing, earning rates, and spending costs
• Gems may expire if your account is inactive for an extended period

9. Streak System

memu features a streak system to encourage daily engagement. Here's how it works:

• Both partners must send at least one challenge per day to maintain the streak
• "Day" is defined by your couple's timezone, set during onboarding
• Streak Saves can protect your streak if you miss a day (consumed automatically)
• If your streak breaks without a Streak Save, you have until the end of the next day to restore it using gems or a Streak Save
• We do not guarantee streak accuracy in cases of technical issues, though we'll try to resolve problems fairly

10. Intellectual Property

Our IP

The memu name, logo, app design, and all related trademarks, content, and technology are owned by memu and protected by intellectual property laws. You may not use our trademarks without written permission.

Your IP

You retain all rights to the content you create and share. We claim no ownership over your photos or other user content.

Feedback

If you provide feedback, suggestions, or ideas about memu, you grant us the right to use them without compensation or attribution.

Third-Party Trademarks

Apple, the Apple logo, iPhone, iPad, and Apple Watch are trademarks of Apple Inc., registered in the U.S. and other countries. App Store is a service mark of Apple Inc.

11. Termination

By You

You can delete your account at any time through the app settings. Upon deletion, we'll remove your personal data as described in our Privacy Policy.

By Us

We may suspend or terminate your account if:

• You violate these Terms
• Your use poses a security risk
• We're required to do so by law
• We discontinue the Service (with reasonable notice)

Effect of Termination

Upon termination, your right to use memu ends immediately. Sections of these Terms that should survive (like Limitation of Liability and Dispute Resolution) will continue to apply.

12. Disclaimers

memu is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content
• Uninterrupted, secure, or error-free operation

We don't guarantee that memu will meet your expectations or that any errors will be corrected. Use the Service at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law:

• memu shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• memu's total liability shall not exceed the amount you paid us in the 12 months before the claim arose, or $100, whichever is greater
• These limitations apply regardless of the legal theory (contract, tort, or otherwise)

Some jurisdictions don't allow certain warranty disclaimers or liability limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless memu and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you share through the Service

15. Dispute Resolution

Informal Resolution

Before filing a formal dispute, please contact us at hello@getmemu.com. Most issues can be resolved quickly and informally.

Arbitration Agreement

If we can't resolve a dispute informally, you and memu agree to resolve any claims through binding individual arbitration, rather than in court. This means you waive your right to a jury trial and to participate in class actions.

Exceptions

Either party may bring claims in small claims court if eligible. Either party may seek injunctive relief in court for intellectual property infringement.

Opt-Out

You can opt out of the arbitration agreement by emailing hello@getmemu.com within 30 days of creating your account with your name, email, and a clear statement that you wish to opt out.

16. Governing Law

These Terms are governed by the laws of the Republic of Slovenia, without regard to conflict of law principles. If arbitration doesn't apply, you consent to the exclusive jurisdiction of the courts in Slovenia.

17. General Provisions

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and memu.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any provision doesn't waive our right to enforce it later.
• Assignment: You may not assign your rights under these Terms. We may assign our rights to a successor in connection with a merger, acquisition, or sale of assets.
• No Third-Party Beneficiaries: These Terms don't create rights for anyone other than you and memu.
